Crimson Tide PLC - Results of Court Meeting and General Meeting

Dear Investors, Crimson Tide plc would like to announce the results of our recent Court Meeting and General Meeting concerning the proposed merger with Checkit plc. Unfortunately, the requisite majority of shareholders did not vote in favor of the resolution at both meetings, resulting in the lapse of the Scheme. As a result, Crimson Tide is no longer in an offer period for takeover purposes. Checkit is now subject to restrictions regarding making any offer for Crimson Tide for the next 12 months. We respect the outcome of the Scheme process and are now focusing on moving the business forward. We will provide updates on FY24 and current trading at our next results announcement in April 2025.
